Terms of Service

All parties who have hired or are seeking to hire SEO Los Angeles must read these terms and conditions in full, and if in agreement, submit the short form at the bottom of this page.

The following terms and conditions apply to all new and existing projects and services, including website builds, website rebuilds, WordPress and website management, SEO marketing, Social Media management, Virtual Production, as well all maintenance / support plans.

SEO Los Angeles will not schedule or perform services prior to the agreement to these terms.

  • Support plans are available in monthly, quarterly, semiannual, and annual intervals. After we receive a cleared payment, your plan will start on the 1st of the following month.
    • A support plan is required for any/all website updates, maintenance, or support requests. This does not apply to bug fixes to a website that we created within the last 90 days.
Note, we cannot be responsible for bugs due to a third parties involvement, or the incompatibility of future theme and plugin updates as these are in the hands of the theme and plugin authors. However, with a support plan, in the event of a theme or plugin bug we can typically restore a previous functioning version of your themes and plugins, as well as consult on alternative methods for the best path forward.
  • Please allow up to 5 days for updates / support requests.
  • Unused hours for updates and support will expire at the end of the month and cannot be rolled over into future months.
  • Dedicated updates and maintenance time, as well as approved one-off updates for outside clients and maintenance is billed at a minimum of one hour ($150/hour as of 1/1/24).
  • Updates and support requests are specific to the services under your support plan. For example, if you are on an Email Marketing plan, we will not fulfill support requests for your social media or website.
  • We do not support email issues. We strongly recommend you setup your email with Google Workspace and/or another reliable platform which has 24/7 support.
  • Website outages that are a result of an issue with your web hosting company may require extensive support time. In these scenarios, it may be most cost effective for you to speak directly with your hosting company. As an alternative (and with your permission) we can work directly with your web host through email, phone, or support tickets to remedy an outage or other issue – time spent will be deducted from your support plan’s monthly allotment and then billed at our regular hourly rate of $150.00 for any overages.
  • We have an excellent track record with website security, but no website (especially WordPress powered sites) is 100% immune to being hacked or targeted by spambots. In the event of excessive spambots, malware, or viruses, we will work to restore a hacked website in a timely manner to the best of our ability. We also strongly urge our clients to set strong passwords and change them often! Not only for your website, but for your hosting, domain, and FTP account(s) as well.
  • Maintenance plans are currently available for WordPress powered websites only.
  • Phone and email support may take 48-72 hours and applies to business hours only. Regular business hours are Monday through Friday, 9am to 5pm EST.
  • As the web and technology world is always fast-evolving, these terms are subject to change at anytime at the sole discretion of SEO Los Angeles. Additional terms of service apply as displayed in the scrolling window below.

SEO Los Angeles agrees to perform agreed upon services to the best of their ability. This includes building a new website, rebuilding an existing website, providing SEO Marketing services, Social Media Management services, as well as maintenance and/or support for a pre-existing or newly created website. Goals and strategies for new projects are to be carried out by SEO Los Angeles as discussed via email or PDF proposal and/or general statement of work provided by SEO Los Angeles to Client.

Given the nature of web development, WordPress, and fast-moving technology including browser updates, theme updates and plugin updates, bugs and outages are always a possibility and work cannot be guaranteed as error-free – whether at the fault of SEO Los Angeles or other means including hosting outages. New website projects are tested in the latest versions of Chrome, Firefox, and Safari (not Edge, Internet Explorer, Tor, or other web browsers).

SEO Los Angeles projects are performed with best intentions in respect to Client’s image, reputation, and profitability. SEO Los Angeles cannot be responsible for Client loss in revenue or sales under any circumstances.

Sales of new website builds and support plans are final and SEO Los Angeles is not responsible should Client sell their business, declare bankruptcy, or otherwise willing or unwillingly terminate their involvement in this agreement.

SEO Los Angeles reserves the right to terminate this agreement in the event of Client supplying unethical materials including but not limited to pornography, obscenity, nudity, violations and infringements of privacy, computer viruses, malware, spamming, harassment, any illegal activity, and/or advocacy of an illegal activity. Any action by Client that could be considered abusive or unethical is a violation of this agreement and SEO Los Angeles reserves the right of termination of this agreement.

Client will supply SEO Los Angeles with all text, documents, and other necessary materials for building and maintenance, as applicable to the project. Client affirms that they are the full copyright owner of any such provided materials. Client will indemnify SEO Los Angeles and hold SEO Los Angeles harmless against any claims of libel, copyright, or trademark infringement brought against Client with respect to use of those materials.

Photography and videography services, and/or licensed stock photos and videos may be available to Client for additional fee(s) pending project details. 

Client receives full rights including the editing of the design, graphics, photos, text, and source code contained in the finished assembled website, except where prohibited by plugin or theme authors.

SEO Los Angeles and its subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios. Example work as displayed in a portfolio may be modified in good faith at the sole discretion of SEO Los Angeles.

The terminology of this agreement uses “SEO Los Angeles” which is represented by Ryan O’Connor. When Client submits a 1099-MISC to the Internal Revenue Service, they must utilize section #7 “Nonemployee compensation”. SEO Los Angeles will provide Client with W9 for tax purposes at Client request.

In the event of a dispute remaining unsettled, the law governing these terms of service and any agreement made incorporating the same shall be resolved in the courts in California, United States of America.

By entering my name below, I hereby agree to all terms of service outlined above and understand that this digital agreement is a legally binding contract between myself and SEO Los Angeles. I am the business / organization owner or have authority to act on their behalf through the terms of service outlined within this agreement.
